Adriana Tibbitts is a corporate and commercial lawyer who uses her deep knowledge of the life sciences industry to help clients meet their business goals and identify practical, creative solutions in response to industry-specific issues.

As a partner in our Corporate & Finance practice group and a member of our global Life Sciences and Health Care industry sector team, Adriana provides transactional, commercial, and corporate advice to pharmaceutical, biotechnology, and medical device companies at all stages of development as well as universities, academic medical centers, venture capital funds, and their portfolio companies.

A significant part of Adriana's practice is focused on licensing and collaboration arrangements, technology transfer, and other complex intellectual property-related transactions. She also advises clients in connection with other transactional matters, including joint ventures, mergers and acquisitions, financing transactions, and the acquisition of pharmaceutical royalty streams. Adriana has particular knowledge handling transactions involving digital health products and is a member of our digital health team.

In addition to her transactional work, Adriana regularly drafts and negotiates commercial contracts specific to the life sciences industry, including manufacturing, co-promotion, material transfer, research, and clinical trial agreements. She also represents venture capital funds and their portfolio companies in the life sciences industry on general corporate matters and equity and debt financings.

Adriana has been interested in health care since majoring in public health at Johns Hopkins University. While in law school, she was awarded a health law certificate for completing the law and health care program at the University of Maryland Francis King Carey School of Law. Prior to entering law school, Adriana traveled across the United States as a trial clerk with the U.S. Tax Court.

Advising a high-technology company in connection with its life science business ventures, including exclusive licenses and joint ventures, to develop digital health products

Advising a private equity fund in its acquisition of multiple pharmaceutical royalty streams

Advising Apple Tree Partners with respect to its investments in multiple life sciences companies
